Terms of Service
These Terms of Service (“Terms”) govern your use of the NovaSurge website and the services we provide. By using our website, submitting a booking or inquiry, or engaging NovaSurge, you agree to these Terms.
1. About us
These Terms are an agreement between you and:

United States

2. Our services
NovaSurge provides AI-powered automation services for small businesses. Depending on what you engage us for, these may include AI voice receptionists, AI chatbots, custom website design and development, appointment and workflow automation, lead capture systems, and Google review automation.
The specific services, deliverables, timelines, and fees for any engagement will be set out in a separate written proposal, quote, or agreement between us. Where anything in that written agreement conflicts with these Terms, the written agreement controls.
3. Eligibility
You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or the business you represent.
4. Demos, bookings, and consultations
- Booking a demo through our website is a request for a consultation, not a binding contract for services.
- We may need to confirm or adjust a requested time. We will contact you using the phone number or email you provide.
- You agree that the information you submit is accurate and that you are authorized to provide it.
- Either of us may reschedule or cancel a demo at any time. Please give us reasonable notice if you cannot attend.
5. Phone and SMS communications
By entering your mobile number and checking the SMS consent box on our booking form, you agree that we may send customer care text messages to that number — replies to your inquiry, demo appointment confirmations, appointment reminders, and related customer-service updates. We do not send marketing or promotional text messages. Message and data rates may apply, and message frequency varies. You may opt out at any time by replying STOP, or reply HELP for assistance. Consent is not a condition of purchasing any product or service. Full details are in our Privacy Policy and SMS Opt-In Disclosure.
6. Your responsibilities as a client
- Provide accurate, current information about your business — services, hours, pricing, and policies — so the systems we build represent you correctly.
- Review and approve scripts, content, and configurations before they go live.
- Maintain your own accounts with any third-party platforms required for your systems to operate, and keep your credentials secure.
- Use our services lawfully, and comply with all laws that apply to how you communicate with your customers — including telemarketing, call recording, messaging consent, and privacy laws.
- Obtain any consents required from your own customers before we contact them on your behalf.
7. Acceptable use
You agree not to use our website or services to send unlawful, deceptive, harassing, or unsolicited bulk communications; to violate anyone’s rights; to attempt to gain unauthorized access to our systems; or to interfere with the operation of our website or services.
8. Fees and payment
Fees, billing frequency, and payment terms are set out in your written proposal or agreement. Unless stated otherwise there, invoices are due on receipt, and late amounts may pause service. Third-party costs — such as telephony, messaging, hosting, or software subscriptions — may be billed separately or passed through, and are subject to those providers’ own pricing.
9. Intellectual property
NovaSurge retains ownership of its own methods, tools, templates, software, and pre-existing materials. On full payment, you receive ownership of or a license to the deliverables created specifically for you, as described in your written agreement. You retain ownership of the content, trademarks, and data you provide to us, and you grant us the license needed to use them to deliver your services.
10. Third-party services
Our services may rely on third-party platforms for telephony, messaging, scheduling, hosting, and AI processing. Those platforms are governed by their own terms and availability, and we are not responsible for their acts, outages, or changes.
11. AI-generated communications
Our services use automated and AI-generated voice and text responses. While we configure and test these systems carefully, automated systems can misunderstand input or produce inaccurate responses. You are responsible for reviewing your configuration and for the communications your systems send to your customers. We recommend keeping human escalation available for complex or sensitive matters.
12. Disclaimers
Our website and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted or error-free.
Any examples of outcomes shown on our website are illustrative. We do not guarantee any specific number of calls answered, leads captured, appointments booked, reviews received, or amount of revenue.
13. Limitation of liability
To the maximum extent permitted by law, NovaSurge will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or our services. Our total liability for any claim will not exceed the amount you paid us for the services giving rise to the claim during the three months before the claim arose.
14. Indemnification
You agree to indemnify and hold harmless NovaSurge from claims, damages, and reasonable costs arising from your use of our services, the content and instructions you provide, or your violation of these Terms or applicable law — including any claim brought by your own customers relating to communications sent on your behalf.
15. Termination
Either party may end an engagement as described in the applicable written agreement. We may suspend or terminate access to our website or services if these Terms are violated or if required by law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
16. Governing law
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law rules. The state and federal courts located in Connecticut will have exclusive jurisdiction over any dispute, and both parties consent to venue there.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of our website or services after changes take effect means you accept the updated Terms.
